Terms of Service – Avila VA App

1. Introduction

These Terms of Service (“Terms”) govern your use of services provided by AVA Virtual Assistant LLC, a company registered in Florida, United States (“Avila VA,” “we,” “our,” or “us”).

By accessing or using our platform, services, or applications (including Talent Finder, VA Portal, Client Dashboard, and related systems), you agree to these Terms.

If you do not agree, you should not use our services.

2. Scope of Services

Avila VA provides:

  • Nearshore virtual assistant staffing and talent placement

  • Ongoing operational support and coordination

  • Time tracking, reporting, and productivity tools

  • Optional AI-assisted workflows and automation support

We act as a service provider connecting businesses with vetted remote talent.

3. Client Responsibilities

Clients agree to:

  • Provide clear instructions, expectations, and scope of work

  • Maintain professional communication with assigned talent

  • Ensure timely feedback and availability for coordination

  • Use the services in compliance with applicable laws

Important:

Deliverables, KPIs, and performance expectations must be defined between the client and the assigned Virtual Assistant (VA). Avila VA does not define business-specific deliverables unless explicitly agreed.

4. Engagement Model & Hours

A. Hourly Structure

Services are provided on an hourly basis unless otherwise agreed.

  • Clients commit to a minimum number of weekly hours (as defined in their agreement)

  • Hours may be increased based on VA availability

B. Minimum Commitment

  • Weekly minimum hours apply once a VA is assigned

  • If work is not provided by the client, the minimum hours may still be billed

C. Time Tracking

  • Hours are tracked using Avila VA-approved systems (e.g., Hubstaff or platform tools)

  • Tracked time is considered accurate unless disputed within a reasonable timeframe

5. Payments & Billing

  • Billing is typically weekly, biweekly, or monthly depending on agreement

  • Invoices must be paid according to agreed terms

  • Late payments may result in service suspension

No Retroactive Adjustments:

Once hours are tracked and reported, they are considered billable unless a clear error is identified.

6. Pauses & Availabilit

Clients may request to pause services.

However:

  • Avila VA does not guarantee that the same VA will be available after a pause

  • VAs may be reassigned to other clients during inactive periods

7. Talent Matching & Replacement

A. Matching

We aim to match clients with suitable candidates based on requirements and availability.

B. Replacement Policy

If a VA is not a good fit:

  • Avila VA will assist in finding a replacement

  • Replacement timelines may vary depending on role and requirements

C. No Guarantee

We do not guarantee:

  • Specific business outcomes

  • Performance beyond reasonable professional standards

8. AI-Assisted Services

Avila VA may use AI tools to support:

  • Reporting

  • Communication

  • Workflow automation

  • Operational efficiency

These tools:

  • Operate under human supervision

  • Are used to enhance service delivery

Avila VA is not liable for decisions made solely based on AI-generated outputs without human validation.

9. Platform Usage

Users agree not to:

  • Misuse or attempt to disrupt the platform

  • Access unauthorized data

  • Use services for illegal or unethical purposes

We reserve the right to suspend or terminate access for violations.

10. Confidentiality

Both parties agree to:

  • Keep confidential information private

  • Not disclose proprietary business, operational, or personal data

This includes:

  • Client data

  • VA information

  • Internal processes

11. Independent Contractor Relationship

Virtual Assistants are independent contractors.

Avila VA:

  • Facilitates placement and coordination

  • Does not act as the direct employer of client-assigned VAs

Clients agree not to

  • Misclassify VAs as employees of Avila VA

  • Impose obligations inconsistent with independent contractor status

12. Limitation of Liability

To the maximum extent permitted by law:

Avila VA is not liable for:

  • Indirect or consequential damages

  • Loss of profits, revenue, or data

  • Business interruptions

Total liability is limited to the amount paid by the client in the preceding 30 days.

13. Service Availability

We strive to maintain platform availability but do not guarantee uninterrupted access.

Temporary downtime may occur due to:

  • Maintenance

  • System updates

  • Third-party service dependencies

14. Termination

By Client

Clients may terminate services according to their agreement terms.

By Avila VA

We may terminate or suspend services if:

  • Payments are not made

  • Terms are violated

  • There is misuse of the platform or personnel

    15. Non-Circumvention

Clients agree not to:

  • Directly hire, contract, or engage Avila VA talent outside of our platform

  • Bypass Avila VA to avoid service fees

This applies during the engagement and for a defined period after termination (recommended: 6–12 months depending on agreement).

16. Data Protection

Use of the platform is also governed by our Privacy Policy.

Clients are responsible for:

  • Ensuring lawful use of any data processed by assigned VAs

  • Providing proper instructions for handling sensitive information

17. Governing Law

These Terms are governed by the laws of the State of Florida, United States.

18. Updates to These Terms

We may update these Terms from time to time.

Continued use of services after updates constitutes acceptance.
